Terms & Conditions for Pula Pitch
1. Eligibility:
1.1. Applicants must be citizens of Botswana or legal residents of Botswana.
1.2. Applicants must be 18 years of age or older at the time of application.
1.3. Applicants must have a business idea that has been established into an MVP (Minimum Viable Product), prototype, or proof of concept. Business ideas alone are not accepted.
1.4. A business or company must have a business name registered with CIPA (Companies and Intellectual Property Authority) or in the process of registering.
1.5. A business or company can have up to two representatives (the primary contestant and one team member) for the competition.
2. Application Process:
2.1 Applicants must submit all required components listed in the Call for Applications.
2.2 Incomplete applications will not be considered.
2.3 Submission of false or misleading information will result in immediate disqualification.
2.4 Deadline for applications: All applications must be submitted by 14th of March 2025.
3. Application Components:
3.1 Business Plan Summary: Applicants must provide a concise overview of their MVP,
prototype, or proof of concept, addressing the problem it solves, proposed solutions, and target market.
3.2 Impact Statement: Applicants must explain the potential societal or environmental impact of their business.
3.3 Financial Projections: Applicants must outline expected financial performance over the initial three years, including start-up costs, revenue projections, and profitability forecasts.
3.4 Team Profile: Applicants must provide information about the team members involved in the business idea, highlighting their skills, experience, and roles.
3.5 Compliance: Applicants must furnish evidence of legal and regulatory compliance relevant to their business sector, including business registration with CIPA.
3.6 Interview Process: Selected contestants will be interviewed to introduce their business ideas and provide more insight.
4. Intellectual Property:
4.1 Applicants retain all intellectual property rights to their business ideas and materials submitted.
4.2 Dialektos Investments (Pty) Ltd t/a Pula Pitch reserves the right to use submitted materials for promotional and marketing purposes related to the show, both during and after the competition.
5. Selection Process:
5.1 Applications will be reviewed by a panel of judges selected by Pula Pitch.
5.2 Shortlisted applicants will be invited for interviews instead of video presentations.
5.3 Final decisions made by the judging panel are final and binding.
5.4 This season will feature 15 contestants with 4 elimination stages, and applicants should be aware that they may face elimination based on their performance during each stage.
5.5 Contestants are required to have an MVP, Proof of Concept, or Prototype at the time of application, which will be assessed during the competition stages.
6. Confidentiality:
6.1 Pula Pitch will treat all information provided by applicants with confidentiality.
6.2 However, applicants should be aware that submitted materials may be shared with judges, sponsors, or partners involved in the selection process.
6.3 Contestants will have access to confidential business ideas of other contestants. By
participating in the competition, all contestants agree to respect the Non-Disclosure
Agreement (NDA) and keep all business ideas, concepts, and proprietary information shared by other participants confidential.
7. Agreement to Participate:
7.1 By submitting an application, applicants agree to abide by these Terms and Conditions.
7.2 Applicants grant Pula Pitch the right to use their name, likeness, and submitted materials for promotional purposes related to the show.
7.3 Contestants will be required to attend pre-competition masterclasses and training
sessions starting from April 5, 2025. Failure to attend may result in disqualification.
7.4 Applicants agree to enter into equity negotiations with Pula Pitch for the BWP 250,000 investment prize. The equity agreement will be based on the business valuation, with equity ranging between 5% and 30%, depending on the business valuation.
7.5 Contestants must be available for all stages of the competition. If unable to attend, a team member may represent them, as long as they have been registered as a representative for the business.
7.6 Contestants have the right to bring a legal representative for the equity negotiation.
8. Changes to Terms:
8.1 Pula Pitch reserves the right to modify these Terms and Conditions at any time.
8.2 Any changes will be communicated to applicants through the official Pula Pitch channels.
9. Disqualification:
9.1 Pula Pitch reserves the right to disqualify applicants who violate these Terms and
Conditions or engage in misconduct during the application process or competition.
9.2 Non-compliance with training attendance or failure to meet eligibility requirements will also lead to disqualification.
10. Governing Law:
10.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Botswana.
10.2 Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Botswana.
By submitting an application to Pula Pitch, applicants acknowledge that they have read, understood, and agreed to these Terms and Conditions.
